These Trade Terms & Conditions govern all transactions and sales conducted through the e-commerce platform of VĒRDIŅŠ-P.R., SIA. By placing an order, the Buyer agrees to be bound by these terms.
1. Payment Terms
Standard Payment Structure (for all orders):
- 40% – T/T (Telegraphic Transfer) deposit upon receipt and signing of the Proforma Invoice.
- 30% – T/T against provision of shipment tracking details / Bill of Lading / Airway Bill.
- 30% – Balance T/T upon confirmation of goods arrival at the Buyer’s destination port or warehouse.
All payments must be made in USD or EUR unless otherwise agreed in writing.
Payment Methods by Order Value:

Important Note: Invoices valued at USD/EUR 1,500 or less will only be processed via RIA Money Details or Bitcoin Wallet. This is implemented to optimize tax handling for smaller transactions into the company’s main accounts. Bank transfers are reserved for larger orders.
Bank Details / RIA / BTC Wallet will be provided on the official Proforma Invoice. Payments must reference the Proforma Invoice Number.
2. Order Confirmation & Proforma Invoice
- A Proforma Invoice will be issued upon order acceptance.
- The order is considered confirmed only after receipt of the 40% deposit and the Buyer’s signed acceptance of the Proforma Invoice.
- Prices are valid for the period stated on the Proforma Invoice.
3. Delivery & Shipping Terms
- Delivery terms will be specified on each Proforma Invoice (commonly FOB, CIF, or EXW depending on the agreement).
- The Seller will provide full tracking information once goods are shipped.
- Risk of loss or damage passes to the Buyer according to the agreed Incoterms.
- Estimated delivery times are indicative only and subject to shipping line schedules, customs clearance, and force majeure events.
4. Inspection & Acceptance of Goods
- The Buyer (or their agent) may inspect the goods at the port of discharge.
- Any claims regarding quantity, quality, or damage must be notified in writing with supporting evidence (photos, inspection report) within 7 working days of arrival.
- Claims made after this period will not be accepted.
5. Returns, Refunds & Cancellations
- Goods are made-to-order or sourced specifically. No returns are accepted unless the goods are proven defective or do not match the agreed specifications.
- In case of Seller’s fault, the Seller will replace the defective goods or refund the affected portion at its discretion.
- Order cancellations after deposit payment are not accepted. The deposit is non-refundable.
6. Force Majeure
The Seller shall not be liable for any delay or failure to perform due to events beyond its reasonable control (war, strikes, natural disasters, pandemics, government restrictions, shipping disruptions, etc.).
7. Governing Law & Dispute Resolution
- These Terms are governed by the laws of Latvia.
- Any disputes shall first be resolved amicably. If not possible, disputes will be submitted to the competent courts of Latvia.
- The United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where relevant.
8. Anti-Money Laundering & Compliance
- The Buyer confirms that all funds used are from legitimate sources.
- The Seller reserves the right to request additional documentation for compliance with KYC/AML regulations.
- The Seller may cancel any transaction if it suspects non-compliance.
9. Miscellaneous
- These Trade Terms form an integral part of the sales contract.
- Any amendments must be made in writing and signed by both parties.
- The Seller reserves the right to update these terms. The latest version will be published on the e-commerce platform.
- In case of any conflict between these terms and the Proforma Invoice, the Proforma Invoice shall prevail for that specific transaction.
